Terms of Use.

1. Agreeing to these terms

These terms apply to officesubleasing.com, operated by [WRITE: business legal name, e.g. Office Subleasing LLC] (“Office Subleasing”, “we”, “us”). By using the site, sending an inquiry or listing a space, you agree to them and to our Privacy Policy. If you are using the site for a company, you agree for that company. If you do not agree, please do not use the site.

2. What this site is, and is not

Office Subleasing is a marketing and lead-generation service. We publish office sublease listings and pass inquiries to a licensed real estate broker. California inquiries go to [WRITE: broker's name] (California DRE #[WRITE: number]); inquiries about property in other states may be referred to a broker licensed in that state.

• We are not a real estate broker. We do not represent you, negotiate leases, or give advice about any transaction.
• Any brokerage relationship is between you and the broker, on the broker’s terms. The broker is independent of us, and we are not responsible for the broker’s services.
• We do not guarantee that you will find a subtenant or a space, or that any listing is still available.

3. Sending an inquiry

When you send an inquiry, you ask us to pass it to the broker described above, and you agree that the broker may contact you about it by email or by phone at the number you gave, including by text message. You can tell the broker to stop contacting you at any time. Inquiries are free and you are under no obligation.

Please give accurate information and only send an inquiry for yourself or a company you are authorized to act for.

4. Listing a space

To list a space you must be at least 18, sign in with an email address you control, and keep your account to yourself. When you submit or publish a listing, you confirm that:

• you, or the company you act for, have the right to sublease or lease the space, and you will get any landlord consent your lease requires before signing;
• the listing is accurate and not misleading, and you will update or unpublish it when it changes or is no longer available;
• you own the photos and text you upload or have permission to use them, and they do not show people who have not agreed to appear; and
• the listing complies with the law, including fair housing and anti-discrimination laws.

You keep ownership of your listing content. You give us a non-exclusive, royalty-free, worldwide license to host, display, copy, resize and adapt it to run and promote the site, for as long as it is published and for a reasonable time after you remove it (for example, in backups).

We review a listing the first time it is published and may decline, edit for formatting, or remove any listing at any time, for example if it looks inaccurate, unlawful or no longer available. Questions about your listing are sent to the broker, who may contact you about them. Listing a space is free.

You are responsible for your own agreements with any subtenant or tenant and with your landlord.

5. Information on the site

Guides, FAQs and city pages are general information, not legal, tax or financial advice. Read your own lease and speak to a lawyer before you sign a sublease. The sub-rental space calculator only multiplies the numbers you enter and is not a quote or appraisal. Listing details come from owners and we do not verify them; check them yourself before relying on them.

6. Acceptable use

Please do not:

• post false, misleading or unlawful content, or spam;
• use the site to collect other users’ information or to contact listing owners for anything other than a genuine inquiry;
• scrape, copy or republish listings in bulk, or use bots to send inquiries;
• try to get around the site’s security, sign in as someone else, or interfere with how the site works.

We may suspend or close an account, or block access, if these terms are broken.

7. Our content

Apart from content owners upload, the site, its design, text and branding belong to us or our licensors. You may view and share pages for your own use, but not copy or republish the site’s content without permission. Third-party websites linked from the site are not under our control.

8. Disclaimers

The site is provided “as is” and “as available”. To the extent the law allows, we disclaim all warranties, express or implied, including fitness for a particular purpose, accuracy and non-infringement. We do not guarantee that the site will always be available or error-free.

9. Limitation of liability

To the extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, arising from the site, any listing, any inquiry, or any transaction or dealing with a broker, owner, subtenant or landlord. Our total liability for any claim relating to the site is limited to the greater of the amount you paid us in the 12 months before the claim or US$100. Some places do not allow these limits, so they may not apply to you.

10. Indemnity

If you list a space or post content, you agree to defend and indemnify us against claims, losses and costs (including reasonable legal fees) arising from your content, your listing, your dealings with others through the site, or your breach of these terms.

11. Governing law

These terms are governed by the laws of the State of California, without regard to its conflict-of-law rules. Any dispute will be heard in the state or federal courts located in Orange County, California, and you and we agree to their jurisdiction.

12. Changes and ending

We may update these terms; the “Last updated” date above will change, and continuing to use the site means you accept the update. You can stop using the site and delete your listings at any time. We may change or stop the service. Sections that by their nature should survive (such as content licenses for backups, disclaimers, limitation of liability, indemnity and governing law) continue to apply.
